1. Introduction
These Terms and Conditions govern your use of our services, including but not limited to software development, website design, e-commerce development, and mobile app development. By engaging with us, you acknowledge that you have read, understood, and agreed to comply with these terms.
2. Project Engagement & Scope
- We provide custom digital solutions tailored to your business needs.
- The project scope, timeline, and deliverables will be outlined in a formal agreement or proposal before work begins.
- Any modifications or additional requirements outside the initial agreement may incur additional costs and timeline adjustments.
3. Payment Terms
To ensure a smooth workflow, our payment structure is as follows:
- 40% Advance Payment – Required before project commencement.
- 50% Upon Project Completion – Due once the final product is ready for review.
- 10% After Training & Launch – Payable after deployment and completion of user training.
- Failure to make payments on time may result in project delays or suspension of services.
- Any additional work beyond the agreed scope will require a separate quotation and approval.
4. Client Responsibilities
To ensure timely project completion, the client is responsible for the following:
- Providing Content: The client must supply all required text, images, and media for the project.
- Timely Communication: Any delays in providing necessary information or approvals may impact the project timeline.
- Access & Credentials: If required, the client must provide necessary credentials (e.g., hosting, domain, API keys) to facilitate development.
We are not responsible for delays caused by the client’s failure to provide content or necessary resources.
5. Project Timeline & Delays
- We adhere strictly to our project timeline. However, unavoidable circumstances such as natural disasters, political unrest, unforeseen technical challenges, or third-party service failures may affect delivery schedules.
- If such a situation arises, we will communicate promptly and work towards a reasonable resolution.
6. Revisions & Modifications
- The project includes a specific number of revisions as outlined in the proposal.
- Additional revisions beyond the agreed scope may incur extra costs and timeline extensions.
- Feature modifications after project completion will be considered as new development requests and will be charged accordingly.
7. Maintenance & Support
- Paid Maintenance Plans are recurring services and depend on the project complexity and requirements.
- Maintenance plans must be paid in advance on a semi-annual or annual basis.
- Maintenance does not cover new feature development, which requires a separate agreement.
- Failure to renew the maintenance plan on time may result in service interruptions.
8. Intellectual Property Rights
- The final product, including design, code, and software, will become the client’s property upon full payment.
- We retain the right to display the completed project in our portfolio and marketing materials, unless otherwise agreed in writing.
- Any third-party assets (e.g., stock images, plugins, APIs) used in the project will be subject to their respective licenses.
9. Confidentiality
- Both parties agree to keep confidential information private and secure.
- We will not disclose client data, business strategies, or sensitive project details to third parties.
- Similarly, the client agrees not to share confidential methodologies, pricing, or agreements related to our work.
10. Warranty & Liability
- We are not responsible for issues caused by third-party services, hosting providers, or client modifications after deployment.
- Any damages resulting from misuse, third-party interference, or lack of updates are beyond our liability.
11. Termination Policy
- Either party may terminate the agreement if the other party fails to fulfill obligations.
- Termination requests must be made in writing and may be subject to cancellation fees based on work completed.
- Payments made are non-refundable once work has commenced.
12. Policy Updates
- We reserve the right to update these terms periodically.
- Continued use of our services after any revisions constitutes acceptance of the updated terms.
